A Pty Ltd is created by filing a Notice of Incorporation and Memorandum of Incorporation with CIPC, normally online through CIPC eServices, for a flat filing fee. One director is enough and nothing in the Companies Act requires a resident director. The rule foreign founders miss is the office: the company must keep a registered office inside South Africa from day one.

  1. Reserve a company name with CIPC (optional; you can register with the registration number as the name).
  2. Prepare the Memorandum of Incorporation, using the standard CoR 15.1A short form or a customised one.
  3. Collect certified ID or passport copies of every incorporator and director.
  4. File the Notice of Incorporation (CoR 14.1) online via CIPC eServices or BizPortal and pay the filing fee.
  5. Provide a South African registered office address on the notice.
