Company registration in Ghana

A Ghanaian private company is incorporated at the ORC by filing Form 3, the constitution, beneficial-ownership details and consents from two directors, a secretary and an auditor, then paying the registration fee and a capital duty. Foreign founders then register with GIPC. The rules they miss are the resident director and the GIPC minimum foreign capital thresholds.

How to register a company in Ghana, step by step

  1. Run a name search at the ORC.
  2. Appoint at least two directors, one ordinarily resident in Ghana, plus a company secretary and an auditor.
  3. Complete Form 3C with the constitution and beneficial-ownership information.
  4. File statutory declarations and consent letters for directors, secretary and auditor, and pay GHS 585 plus 1% capital duty.
  5. Set up a registered office in Ghana within 28 days and obtain the incorporation certificate and Form 3.
  6. Register the company with GIPC with the ORC documents and proof of the minimum foreign capital.
