Company registration in Morocco

A Moroccan SARL is created through the regional investment centre: obtain a certificat négatif for the name, register the statutes with the tax administration, file at the commercial register and publish a legal notice. Partners set the capital freely and a single associate is allowed. Foreign founders most often stumble on the registered lease, which the file requires before registration.

Common mistakes

  • Arriving without a registered lease contract, which the CRI file requires.
  • Assuming a legal minimum capital exists; the partners fix it, but banks and partners still expect a credible figure.
  • Forgetting the minimum contribution kicks in after 36 months even when the company is loss-making.
