Company registration in Guatemala

A Guatemalan S.A. is constituted by public deed before a notary; the testimonio is filed within a month through the Registro Mercantil's online portal, which registers the company and its legal representative and enrols it with the SAT, in about five to seven days according to the Ministerio de Economía. Foreign founders trip on capital rules: paid-in cash above Q2,000 must be deposited in a bank before the deed.

Common mistakes

  • Filing the testimonio more than a month after the deed.
  • Paying capital above Q2,000 to an administrator instead of depositing it in a bank.
  • Under-budgeting: the Q8.50-per-thousand tariff applies to authorised capital from Q500,000, not only paid capital.
