Company registration in the Czech Republic

An s.r.o. is founded by a notarial deed; the notary can then enter the company directly in the Commercial Register, often the same day, and for a simple company with model articles the court fee is waived. A foreign founder can act through a proxy with a certified power of attorney, and must show a legal basis for the registered office, typically the owner's consent.

How to register a company in the Czech Republic, step by step

  1. Agree the company name, registered office and executives and obtain the premises owner's consent with a certified signature.
  2. Have a notary draw up the founding deed (memorandum/articles) – in person or via a proxy with a certified power of attorney.
  3. Pay the contributions (minimum CZK 1 per shareholder) to the contribution administrator or bank account.
  4. Obtain the trade licence (živnostenské oprávnění) for the intended activity.
  5. Ask the notary to register the company directly in the Commercial Register, or file the application with the registry court.
  6. Register with the tax office and file financial statements to the Collection of Deeds each year.
