Company registration in Bulgaria

An EOOD or OOD is registered by the Registry Agency's Commercial Register, which rules by the end of the next working day. The founder files form A4 with the constitutive act, a bank note for the paid-in capital and the manager's notarised consent and specimen signature; electronic filing halves the fee. The notarised specimen is the step foreign managers most often overlook.

How to register a company in Bulgaria, step by step

  1. Optionally reserve the company name (form D1).
  2. Draft the constitutive act or partnership agreement and the manager appointment decision.
  3. Open a capital-deposit account and obtain the bank's paid-in capital note.
  4. Have the manager's consent and specimen signature notarised.
  5. File application A4 with declarations under Art. 13(4) and 13(5), electronically or at the counter.
  6. Await the ruling by the end of the next working day and check the entry online.
