A private limited company is registered online through the Registrar of Companies' eROC system: approve the name, file Form 1 with the articles, add each director's Form 18 consent and the secretary's Form 19 consent, pay the fee and download the certificate from the dashboard. How to register a company in Sri Lanka, step by step

  1. Open an eROC account and apply for approval of the company name (Rs 2,600 excluding VAT).
  2. Draft the articles of association showing the name in English, Sinhala and Tamil on the first page.
  3. Complete Form 1 (application for incorporation) online.
  4. Upload Form 18 consent for every director and Form 19 consent of the company secretary.
  5. Pay the registration fee (Rs 5,200 excluding VAT under the 2026 order) online.
  6. Download the digital certificate of incorporation from the dashboard and file the annual return each year.
