Company registration in the Philippines

A Philippine domestic corporation or One Person Corporation is registered online with the Securities and Exchange Commission through eSPARC, where the OneSEC track promises one-day processing for standard stock corporations. Foreign founders trip on the Foreign Investments Act: a domestic-market business with more than forty percent foreign equity must show paid-in capital of USD 200,000, unless a reduced threshold applies.

Common mistakes

  • Registering a domestic-market business with over 40% foreign equity without the USD 200,000 paid-in capital.
  • Choosing an activity reserved or capped for Filipinos on the Negative List.
  • Assuming the 20% small-corporation tax rate applies without meeting the income and asset thresholds.
