Company registration in Northern Cyprus

A Northern Cyprus (KKTC) limited company is registered with the Resmi Kabz Memurluğu ve Mukayyitlik Dairesi after a name check, articles of association and forms M.Ş.1–M.Ş.3. Foreign shareholders — Turkish citizens included — first need ministry approval and higher capital. It is not an EU company: KKTC is recognised only by Turkey, and the Republic of Cyprus is a separate jurisdiction.

Common mistakes

  • Confusing KKTC with the Republic of Cyprus: a KKTC company is not an EU company and is not recognised outside Turkey.
  • Assuming Turkish citizens count as local shareholders — they need the same ministry approval as other foreigners.
  • Taking total cost from Turkish fee tables: KKTC registry fees are set by its own fee regulation.
