An Austrian GmbH is created by a notarial deed (a declaration of establishment for a single founder), payment of at least €5,000 of the €10,000 share capital in cash and entry in the Firmenbuch; the FlexCo uses the same capital. New businesses can have court fees waived under NeuFöG. Foreign founders trip on the minimum corporate tax: €500 a year is due from the first quarter, profit or not.

How to register a company in Austria, step by step

  1. Draft the articles (or declaration of establishment) naming the managing director and the registered office.
  2. Sign the articles as a notarial deed; the Austrian Business Agency notes the process can run online.
  3. Pay at least €5,000 of the €10,000 capital into a bank account and obtain the bank confirmation.
  4. Obtain the NeuFöG confirmation from the Chamber of Commerce to have court fees waived.
  5. File the application with the Firmenbuch court with the deed, bank confirmation and specimen signatures.
  6. After registration, obtain the trade licence (Gewerbeberechtigung) and register with the tax office.
