A New Zealand company is incorporated online: reserve a name, open a Companies Office account, enter directors, shareholders and addresses, upload signed director and shareholder consents and pay the fee, after which the certificate is emailed. The rule overseas founders trip on is the resident director: one director must live in New Zealand, or live in Australia and already direct an Australian company.

How to register a company in New Zealand, step by step

  1. Set up a Companies Office online services account with a RealMe login.
  2. Reserve the company name ($10 plus GST); the reservation gives 20 working days to finish.
  3. Line up at least one director who lives in New Zealand or in Australia (with an Australian directorship and ACN).
  4. Provide physical New Zealand addresses for the registered office and address for service, plus an email address.
  5. Complete the online application, then file signed consent forms from every director and shareholder.
  6. Pay $118.74 plus GST and receive the certificate of incorporation by email; file the annual return each year.
