Company registration in Latvia

A SIA is registered in the Commercial Register kept by the Register of Enterprises by filing the application, articles, founders' resolution and a board statement on the legal address, with the share capital paid into a company account. Signatures must be notarised or made with a secure electronic signature, and foreign-issued secure e-signatures are accepted, so filing can be fully remote for EU eID holders.

How to register a company in Latvia, step by step

  1. Draft the founders' resolution and articles and choose a standard SIA (EUR 2,800) or the reduced-capital SIA.
  2. Open a payment account in the future company's name and pay in the share capital (founders certify this in form KR4 for cash up to EUR 50,000).
  3. Appoint the board; each member signs a consent, notarised or with a secure e-signature.
  4. Prepare the board's statement on the legal address with the legal basis for using the premises.
  5. Pay the state fee, then file the KR4 application electronically or on paper with the Register of Enterprises.
  6. After registration, register with VID for taxes and file the annual report each year.
