What the registry requires
| Company type | Anpartsselskab (ApS) |
|---|---|
| Registry | Danish Business Authority (Erhvervsstyrelsen) via Virk |
| Government filing fee | DKK 670 — 'Registration of a company: 670 kr.' (Business in Denmark / Danish Business Authority). |
| Registration time | The vast majority of digital company registrations are verified automatically and completed immediately; some go to manual processing. Filings on the paper company form (Selskabsblanketten) take 4–6 weeks. |
| Resident director | The Danish Business Authority states there are no special requirements as to a founder's nationality or place of residence; members of management need only have legal capacity and not be under guardianship. No residency rule for directors is stated. |
| Visit, notary or lawyer | No notary. Digital registration on Virk needs MitID; a founder without Danish MitID can have a representative with MitID register the company, or use the Business Authority's paper company form (4–6 weeks). Paid-in capital is documented by a bank deposit approved by a bank, auditor or lawyer, or a deposit on a lawyer's client account. |
| Registered address | The registered address must be a Danish address where the company can be contacted at all times; CVR address data are automatically checked against the Building and Housing Register (BBR). |
| Minimum capital | DKK 20,000 |
| Corporate tax | Selskabsskat 22 % (Skattestyrelsen); financial companies pay 26 % from 2024. |
| Every year | Annual report to the Danish Business Authority within 6 months of the financial year end; late filing incurs a fee of up to DKK 3,000 per member of management. |

Common mistakes
- Registering a c/o or virtual address that does not match a real address in the BBR register.
- Expecting to self-file without MitID; the paper route takes 4–6 weeks.
- Filing the annual report late, which triggers per-director fees.
