Company registration in India

A private limited company is incorporated online through the MCA's SPICe+ form, which bundles name reservation, incorporation, director identification numbers, PAN, TAN and other registrations, with no MCA fee for authorised capital up to fifteen lakh rupees. The rule foreign founders trip on: at least one director must have spent 182 days in India during the financial year, and overseas documents must be apostilled.

Common mistakes

  • Planning an all-overseas board; the 182-day resident director rule applies to every company.
  • Submitting foreign documents without apostille or consular attestation for the subscriber's country.
  • Assuming 'zero fee' means no cost; state stamp duty on the memorandum and articles is still payable.
