What the registry requires
| Company type | Sociedad de Responsabilidad Limitada de Capital Variable (S. de R.L. de C.V.) |
|---|---|
| Registry | Registro Público de Comercio (SIGER, Secretaría de Economía and state registries); company name authorised by the Secretaría de Economía |
| Government filing fee | Varies — The Secretaría de Economía name authorisation is free. Registro Público de Comercio fees ('pago de derechos') are set by each state and notary fees depend on the share capital; no central official figure is published. |
| Registration time | Name authorisation answered within 48 hours; the Registro Público de Comercio must qualify the deed within 10 business days (Secretaría de Economía investor manual). Notary drafting time is not published. |
| Resident director | The Secretaría de Economía investor manual describes no residency requirement for managers; it only obliges the notary to notify the Foreign Ministry (SRE) when a company admits foreign partners. |
| Visit, notary or lawyer | Companies other than the SAS are constituted before a fedatario público, and the manual says the interested party appears in person; a power of attorney granted abroad must be apostilled and formalised before a Mexican notary. Foreign partners resident abroad do not need an RFC if the company files a yearly list of them by 31 March and uses the generic RFC EXTF900101NI1 in the deed. |
| Registered address | RFC registration of the company requires proof of a fiscal domicile in Mexico; the deed is registered at the registry office of the company's domicile. |
| Minimum capital | Not stated |
| Corporate tax | Income tax (ISR) for legal entities is 30% of the fiscal result, paid by annual return within three months of year end (Ley del ISR art. 9); a 20% rate applies in the northern border zone. |
| Every year | Annual ISR return within three months of year end; foreign-partner list by 31 March; companies with foreign capital must register in the RNIE within 40 business days of constitution (free) and then file quarterly/annual reports if thresholds are exceeded. |

- The notary files the deed in the Registro Público de Comercio, which qualifies it within 10 business days.
- Obtain the company's RFC from SAT at the time the deed is signed, using the generic RFC for non-resident partners.
- Register the company in the RNIE within 40 business days and calendar the annual ISR return and the 31 March foreign-partner list.

30% ISR. Income tax (ISR) for legal entities is 30% of the fiscal result, paid by annual return within three months of year end (Ley del ISR art. 9); a 20% rate applies in the northern border zone.
Rates are the headline figures published by the tax authority; your effective rate depends on residence, activity and treaties. This is not tax advice.
Common mistakes
- Sending a foreign power of attorney without apostille and Mexican notarial formalisation, which the notary and SAT will reject.
- Missing the 40-business-day RNIE registration, which carries fines of 30 to 100 minimum wages.
- Forgetting the yearly list of foreign partners due by 31 March, the condition on which they are excused from getting an RFC.
