Non-residents can own and direct a UK Ltd. Since identity verification became mandatory, every director and person with significant control must verify their identity, and the company still needs a physical UK registered office.

The official rules that apply

  • From 18 November 2025 identity verification is a legal requirement for directors and people with significant control (PSCs), phased in over 12 months.
  • New directors must verify identity to incorporate or be appointed; existing directors confirm verification with their next confirmation statement during the 12-month transition.
  • Identity can be verified directly with Companies House via GOV.UK One Login (free) or through an Authorised Corporate Service Provider (ACSP).
  • A company must have at least one director who is a natural person; directors must be 16 or over.
  • The registered office must be a physical address (not a PO Box) in the same part of the UK where the company is incorporated.
